Project work
Service Terms
Exit Grid Group · Oshawa, Ontario · Effective September 2, 2026
These terms apply to all project work performed by Exit Grid Group (“we”, “us”) for a client (“you”). They form part of every proposal, quote, and invoice we issue. Where a signed proposal or statement of work says something different, that document wins.
1. What we agree to
Every engagement starts with a written proposal listing the specific deliverables, the price, and the timeline. Work begins once you have approved that proposal in writing and paid the deposit. Anything not named in the proposal is outside the engagement.
2. Payment
| Service | Structure |
|---|---|
| The Launch | 50% deposit to begin, 50% due before launch |
| Launch Build | 50% deposit to begin, 50% due before launch |
| Care Plan | Billed monthly in advance |
| Additional work | Quoted separately and invoiced on completion |
- —All prices are in Canadian dollars and exclude HST, which is added where applicable.
- —Invoices are due on receipt unless the invoice states otherwise.
- —Deposits are non-refundable once work has begun.
- —Overdue balances carry interest at 2% per month (26.82% per year, compounded monthly) from the due date.
- —We may pause work and suspend access to in-progress deliverables while an invoice is more than 14 days overdue.
- —Final files, accounts, and ownership transfer only after the final invoice is paid in full.
3. Third-party costs
Some parts of a launch involve fees paid to other companies: government registration and incorporation fees, domain registration, hosting, premium plugins, stock imagery, phone numbers, and software subscriptions such as booking or payment tools. These are your costs, not ours. We will tell you what they are before committing you to any of them, and wherever possible we set them up in your name on your payment method so you keep control.
4. Scope and revisions
Each deliverable includes two rounds of revisions. A round means one consolidated set of feedback from you, delivered at once, which we then action.
The following are change requests rather than revisions, and are quoted separately before we proceed:
- —New pages, sections, or features not listed in the proposal
- —A change of direction after a stage has been approved
- —Rewriting content you have already signed off on
- —Adding, changing, or integrating a third-party platform not named in the proposal
We do not begin change requests until you approve the quote in writing. Change requests may move the launch date.
5. What we need from you
Most delays on launch projects come from waiting on materials, not from build time. To keep your project on schedule you agree to:
- —Provide content, photos, logos, and any legal or licensing details we request
- —Give us the access we need to domains, hosting, social accounts, and payment tools
- —Respond to questions and approval requests within two business days
- —Confirm approvals in writing rather than verbally
- —Give us accurate information about your business, licensing, and insurance
If a project goes quiet
- —After 14 days without a response from you, we pause the project and move to other client work. Your place in the schedule is not held.
- —After 30 days the project is considered dormant. Restarting requires a $250 reactivation fee and a new timeline based on current availability.
- —After 90 days we may close the project. Payments made are forfeited and any remaining balance for work already completed becomes due.
6. Timelines
Timelines in a proposal are estimates based on you meeting the response times above and on third parties (registries, banks, payment processors, carriers) acting within their normal windows. We cannot guarantee the processing time of any government body, financial institution, or platform, and delays from those sources do not entitle you to a refund.
7. Cancellation and refunds
Cancellation by you
- —Before work begins: full refund of the deposit, less any third-party fees already paid on your behalf.
- —After work begins: the deposit is not refundable. If the value of work completed exceeds the deposit, the difference is invoiced.
- —After a deliverable is approved: no refund for that deliverable.
Cancellation by us
We may end an engagement if you do not pay, do not provide what we need, ask us to do something unlawful or misleading, or are abusive toward our team. We will refund any amount paid for work not yet performed, and hand over any completed work you have paid for.
8. Ownership and handoff
Once your final invoice is paid:
- —You own the final website, logo files, written content, and brand assets we produced for you.
- —You own the accounts set up in your name, and we transfer admin access to you.
- —We keep ownership of our internal templates, code libraries, frameworks, processes, and automation blueprints. You get a licence to use them as part of your delivered work, not a right to resell or redistribute them.
- —Third-party components stay under their own licences.
Once ownership transfers, keeping your accounts, backups, and credentials safe is your responsibility unless you are on a Care Plan.
9. Portfolio use
We may show your finished work, brand, and business name in our portfolio, case studies, and marketing. We will not publish your revenue figures, internal documents, or any information you have marked confidential. Tell us in writing if you would prefer not to be featured and we will leave you out.
10. Support after launch
Every project includes 14 days of post-launch support for fixing things that are not working as specified. This does not cover new features, content changes, or training beyond the handoff session. Ongoing support is available through a Care Plan.
11. Communication
Project communication happens by email and scheduled calls. We respond to messages within one business day, Monday to Friday. We do not provide 24/7 support, and requests sent by direct message on social platforms may not be tracked.
12. Your responsibilities as a business owner
We build systems. We do not provide legal, accounting, tax, or insurance advice. You are responsible for your own licensing, permits, insurance, tax registration and filings, and for the accuracy of any claims made in your marketing. Where we help with incorporation or registration, we are assisting you with a filing you are making — the decisions and the accuracy of the information are yours.
13. Limitation of liability
We do our work carefully, but we cannot guarantee business results, revenue, search rankings, lead volume, or the uptime of third-party platforms. To the extent permitted by law, our total liability for any claim connected to an engagement is limited to the amount you paid us for that engagement. We are not liable for indirect or consequential losses, including lost profits or lost business.
14. Confidentiality
We keep your business information, credentials, and documents confidential and share them only with team members or subcontractors who need them to do the work. We ask the same of you regarding our pricing, processes, and internal materials.
15. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. Any dispute will be handled in the courts of Ontario.
16. Changes to these terms
We may update these terms. The version in effect when your proposal was approved governs your engagement. Updates apply to new engagements from the date they are posted.
